By accessing or using CodeAxe Technologies' website or engaging our services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

We reserve the right to update these Terms at any time. Continued use of our services after changes constitutes your acceptance of the revised Terms. We will notify you of significant changes via email where applicable.

Our Services
Scope of Work
CodeAxe Technologies provides custom software development, web application design, UI/UX design, cloud infrastructure, and technology consulting services. The specific scope of each engagement is defined in a separate project agreement or statement of work.
Service Availability
We strive to deliver services as described and on the agreed timelines. However, circumstances outside our control (such as client delays, third-party dependencies, or force majeure) may affect delivery dates.
Section 03
Client Responsibilities
Accurate Information
You agree to provide accurate, complete, and timely information required for us to deliver your project. Delays caused by incomplete or inaccurate information are not the responsibility of CodeAxe Technologies.
Feedback and Approvals
Timely client feedback and approvals are essential to project delivery. Failure to provide approvals or feedback within agreed timeframes may result in project delays or additional charges.
Legal Compliance
You are responsible for ensuring that your requested project and its use comply with all applicable laws and regulations. CodeAxe Technologies will not be liable for any legal issues arising from your use of the delivered work.
Section 04
Intellectual Property
Client Ownership
Upon receipt of full payment, all custom code, designs, and deliverables created exclusively for your project become your intellectual property. You receive full ownership and perpetual license to use the work.
CodeAxe IP
We retain ownership of our frameworks, boilerplate code, tools, processes, and methodologies. These remain our intellectual property and are licensed to you for use within the delivered project only.
Portfolio Rights
Unless otherwise agreed in writing, we reserve the right to display completed work in our portfolio and use it for promotional purposes.
Section 05
Payment Terms
Payment Schedule
Payment terms are defined in the project agreement. Standard terms require a deposit before work begins, with remaining balance due upon project completion or as agreed in milestones.
Late Payments
Invoices not paid within the agreed timeframe may incur a late payment fee. CodeAxe Technologies reserves the right to suspend work on any project with outstanding overdue invoices.
Section 06
Limitation of Liability
Maximum Liability
CodeAxe Technologies' total liability to you for any claim arising out of or related to our services shall not exceed the total fees paid by you for the specific service giving rise to the claim.
Indirect Damages
We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, even if we have been advised of the possibility of such damages.
Section 07
Termination
Termination by Client
You may terminate a project engagement by providing written notice. You will be invoiced for all work completed up to the termination date. The deposit is non-refundable unless otherwise stated in your project agreement.
Termination by CodeAxe
We reserve the right to terminate an engagement if you breach these Terms, fail to make payments, or engage in conduct that is unlawful or harmful. We will provide written notice and refund any pre-paid fees for undelivered work.
Section 08
Governing Law
Jurisdiction
These Terms are governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in India.
